Todrise Software License and Service Agreement

Operating entity: Todrise.

Welcome to Todrise. This Agreement sets out the terms under which you may use the Todrise apps and services. Please read it carefully — especially the bolded provisions. By downloading, installing, registering, logging in, or otherwise using Todrise, you are deemed to have accepted all terms of this Agreement. If you do not agree, please stop using the Service and uninstall the Application.

If you are a minor, please read this Agreement under guardian supervision and use Todrise only with the guardian’s consent.

I. Scope of Service

Todrise is an AI-powered notes, to-dos, and focus tool, provided in forms including but not limited to Android, iOS, and iPadOS applications; macOS, Windows, and Linux desktop applications; and other clients or web versions that may be provided in the future.

Notes: rich text editing, bidirectional Markdown conversion, PDF export, cross-device sync.
Todos: task management, due dates, recurring tasks, reminders.
AI Assistant: natural language conversation, content generation and organization.
Focus: timer, Pomodoro, habit tracking.
Sync: synchronization across your devices via third-party cloud storage you authorize (such as Google Drive or Apple CloudKit).

Feature changes

We may add, adjust, or reduce Service features based on business development. Material changes will be communicated via in-app notifications, email, or announcements.

II. Prerequisites for Use

You are responsible for preparing the devices, network connection, and third-party accounts required to use Todrise, and for bearing any associated costs.

Cloud sync relies on your authorized Google Drive or Apple CloudKit account and its available storage.
AI features rely on model inference services that you configure.
Text-to-speech (TTS) relies on system or third-party speech engines.
Push notifications rely on channels such as Apple APNs or Google FCM.

Third-party services

Interruptions, changes, or pricing adjustments of third-party services are beyond our control, and we are not liable for any resulting feature limitations. You must ensure that your use of Todrise complies with the laws and regulations of your country or region, including export control, sanctions, and data compliance.

III. Registration and Accounts

You may need to register an account or log in via a third-party account (such as Google or Apple ID) to use features such as sync and AI. You must provide true and accurate identity information and assume full responsibility for the security of your account and password. Any action taken through your account is deemed to be your own action.

You shall not impersonate others, lend or transfer your account, register accounts in bulk for profit, or steal other users’ credentials.

If you discover that your account has been compromised or is at security risk, please notify us immediately. We are not liable for account losses caused by your own failure to safeguard credentials.

IV. User Content and Licenses

4.1 Definition of User Content

“User Content” means all content that you create, upload, store, or sync through Todrise, including but not limited to notes, to-dos, attachments, AI conversation history, and configuration information.

4.2 Ownership of Content

You retain all intellectual property and other lawful rights to your User Content. We do not claim ownership of your content.

4.3 License Granted to Us

To provide the Service to you (including sync, AI inference, backup, display, and cross-device access), you grant us, our affiliates, and our technology providers a worldwide, non-exclusive, royalty-free, sublicenseable license to store, transmit, index, display, format-convert, and perform inference processing on your User Content as necessary.

4.4 Special Statement on AI Training

Without your separate explicit consent, we will not use your private note content to train any third-party or first-party AI models. Content generated by AI inference belongs to you; specific handling is subject to the then-effective Privacy Policy.

4.5 Warranty of Content Lawfulness

You warrant that your User Content:

Does not infringe any third party’s intellectual property, privacy, reputation, or other lawful rights.
Does not violate the laws and regulations of your country/region or the region where the Service is provided.
Does not contain malicious code, viruses, or any harmful data that could damage the Service.

4.6 Content Handling

If you breach this Agreement or where required by laws, regulations, regulatory authorities, or judicial orders, we reserve the right to delete, block, de-link, or otherwise dispose of your User Content without liability.

V. User Conduct

You agree not to engage in any of the following conduct through Todrise:

5.1 Unlawful or Infringing Behavior

Publishing or disseminating content that endangers national security, is obscene or pornographic, violent or terrorist, false rumors, or defamatory.
Infringing others’ intellectual property, trade secrets, privacy, or personal information rights.
Violating export control or sanctions laws of your country/region.

5.2 Endangering Service Security

Reverse engineering, decompiling, or disassembling the Service (except where explicitly permitted by law).
Using crawlers, bots, or automated scripts to scrape data in bulk.
Distributing viruses, Trojans, or malicious code, or launching DDoS, SQL injection, or similar attacks against servers.
Modifying, tampering with, or bypassing the authentication, encryption, payment, or permission mechanisms of the Service.
Exploiting Service vulnerabilities for improper gain.

5.3 Abusing AI Features

Generating unlawful, infringing, harmful, or misleading content.
Automated bulk calls to AI features, simulating or stress-testing the Service.
Using AI output as the sole basis for decisions in medical, legal, financial, or other professional domains, causing harm to others.
Attempting to obtain unauthorized model capabilities through prompt injection, jailbreaking, or similar means.

5.4 Abusing Sync and Third-Party Accounts

Using third-party storage such as Google Drive to disseminate prohibited content (which also violates the third-party service’s terms).
Maliciously disputing sync failures caused by exceeding third-party service quotas or limits.

5.5 Consequences of Violations

We reserve the right, depending on severity, to take measures including warnings, feature restrictions, suspension of service, permanent account termination, and forfeiture of paid fees. Serious cases will be referred to law enforcement, and we will cooperate with regulatory or judicial investigations.

VI. Intellectual Property

All intellectual property rights in the Todrise software, source code, interface design, icons, text, trademarks, algorithms, models, and other materials are owned by us or our licensors. Todrise is released under the AGPL-3.0 license; third-party materials retain their original licenses.

You are granted a personal, revocable, non-exclusive, non-transferable license to use Todrise, subject to compliance with this Agreement and the AGPL-3.0 terms.

Copy, modify, distribute, sell, or lease the Software (beyond the rights granted by AGPL-3.0).
Remove or obscure copyright or trademark notices.
Use Todrise for commercial operations or competitor product development in violation of the AGPL-3.0.

VII. Subscriptions and Fees

7.1 Pricing Strategy

Todrise currently offers a free version. Paid subscriptions (membership, AI enhancement packs, etc.) may be introduced in the future, as announced in the Application.

7.2 Auto-Renewing Subscription Rules (if applicable)

Subscriptions through Apple App Store / Google Play / Official Website are subject to the respective platform’s billing rules.
Subscriptions automatically renew within 24 hours before expiration, unless you manually disable auto-renewal at least 24 hours before the end of the current period.
Refund policies follow the respective platform rules (Apple / Google / payment channels); we have no direct refund authority.

7.3 Price Changes

We reserve the right to adjust pricing based on market conditions. Users who subscribed before a change are not affected during their current billing cycle; new pricing applies upon renewal.

7.4 Forfeiture for Violations

If your account is terminated due to violations, paid fees are non-refundable.

VIII. Privacy Protection

We take your privacy seriously. Specific data collection and usage practices are detailed in the Todrise Privacy Policy.

Todrise is privacy-first: by default, only the minimum data necessary to provide the Service (such as account identifiers, device identifiers, crash logs, and performance metrics) may be collected. Your notes, to-dos, and other content data are stored locally on your device by default; if you enable cloud sync, such content is transmitted with encryption to third-party cloud storage you authorize. We do not proactively access your content.

As required by law or to prevent fraud and security incidents, we may access, retain, or disclose your information without prior notice — only to the extent necessary.

IX. Disclaimers and Limitation of Liability

9.1 Service Provided “As Is”

We make no express or implied warranties regarding: the Service being uninterrupted, error-free, or free of security vulnerabilities; the Service meeting all your intended purposes; or the availability or accuracy of third-party services (such as Google Drive, AI models, push channels).

9.2 User Assumes Risk

You should back up important data locally. We are not liable for any data loss caused by your failure to back up in a timely manner, device failure, third-party service interruption, force majeure, or similar events.

9.3 Liability Cap

In no event shall our total liability arising from this Agreement or the Service exceed the fees you actually paid us in the preceding 12 months; if you have never paid, liability is capped at the maximum amount permitted by applicable law.

9.4 Exclusion of Consequential Damages

We shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the Service (including but not limited to data loss, business interruption, loss of profits, or reputational harm).

X. Force Majeure

We are not liable for service interruption, data loss, or damages caused by:

Natural disasters (earthquakes, floods, typhoons, etc.).
War, riots, strikes, or government actions.
Telecommunications carrier or internet infrastructure failures.
Interruption or changes to third-party services (payments, cloud storage, AI inference, push notifications, maps, etc.).
Changes in laws or regulations that make the Service impossible to continue.

XI. Service Changes and Termination

11.1 Service Changes

We reserve the right to change, upgrade, or discontinue some or all features of the Service, and will notify users in advance via in-app announcements, email, or in-product notifications. Material feature discontinuations will be communicated at least 30 days in advance.

11.2 Termination by You

You may stop using the Service and uninstall the Application at any time; paid subscriptions may be canceled according to the respective platform’s rules.

11.3 Termination by Us

We reserve the right to suspend or terminate the Service to you under the following circumstances:

You breach this Agreement and fail to cure within a reasonable period.
Your account has been inactive (more than 12 months).
Required by laws, regulations, or regulatory authorities.
The Service is being discontinued entirely.

11.4 Post-Termination Handling

After termination, we will handle your data in accordance with the then-effective Privacy Policy. You should back up your content promptly upon receiving termination notice; data may be irrecoverably deleted after the deadline.

XII. Protection of Minors

Todrise is primarily intended for users aged 13 and above. Minors under 13 should use the Service under guardian supervision, and this Section applies accordingly.

If a guardian discovers that a minor has used the Service or subscribed to paid features without consent, please contact us for a refund and service termination.

We do not knowingly collect personal information from children under 13. If you believe we have inadvertently collected such information, please contact us to delete it.

XIII. Third-Party Services and Links

Todrise may include or link to third-party services (Google Drive, Apple CloudKit, third-party AI models, external web links, etc.). When you use third-party services, you are simultaneously bound by their terms and privacy policies.

The content, availability, and security of third-party services are the responsibility of their operators. We make no representations regarding the reliability of third-party services. Disputes between you and third-party services (e.g., Google Drive quota, billing, data loss) should be resolved directly with the third-party service provider.

XIV. Governing Law and Dispute Resolution

The formation, validity, interpretation, and dispute resolution of this Agreement are governed by the laws of the jurisdiction where the Todrise operating entity is established, without regard to conflict-of-laws principles.

Disputes arising from this Agreement or the Service shall first be resolved through amicable consultation; if consultation fails, either party may bring a lawsuit before a court of competent jurisdiction.

If any provision is held invalid or unenforceable under applicable law, the remaining provisions remain in full force and effect.

XV. Changes to This Agreement

We reserve the right to update this Agreement based on legal requirements and product evolution. The updated Agreement takes effect on the date announced in the Application or on our website, or on the specified effective date.

Continued use of the Service after an update constitutes your acceptance of the updated Agreement. If you disagree, please cease use and uninstall the Application.

Material changes to provisions regarding fees, liability limitations, or AI data usage will be communicated through more prominent means (pop-ups, emails).
